Terms of Service

Welcome to XCITY. These Terms of Service ("Terms") are a legally binding agreement between you ("you," "your," or "User") and XCITY ARGENTINA INC ("Xcity," "we," "our," or "us") governing your access to and use of the Xcity platform, including the website at xcity.me, associated applications, smart contracts, DAOs, and all related services (collectively, the "Platform").

1. Acceptance of Terms

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately cease all use of the Platform. You must be at least 18 years of age and have full legal capacity to enter into this agreement.

2. Description of Services

Xcity provides a platform for:

• Participating in AI-driven city-state development in Argentina
• Purchasing NFTs representing land-use rights and platform membership
• Engaging in DAO-based governance and community decision-making
• Accessing immigration, energy, and real estate services associated with Xcity

Xcity reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time without prior notice.

3. NFT Ownership & Land-Use Rights

Important: Purchasing an Xcity NFT does not confer direct legal ownership of real estate. NFTs represent usage rights under a contractual agreement with Xcity's Argentine operating entity, as further described in our Legal & Disclaimer page.

• NFTs may not be resold in jurisdictions where such resale is prohibited by law.
• You are solely responsible for ensuring that purchasing and holding NFTs is legal in your jurisdiction.
• All NFT transfers are final and irreversible. Xcity assumes no liability for transactions conducted outside the Platform.
• Cumulative NFT holdings may be subject to regulatory limits depending on Argentine law.

4. Account Registration & Security

To access certain Platform features, you must create an Xcity account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password and wallet credentials secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

5. DAO Governance Participation

Participation in Xcity DAO governance (including voting on proposals, running for community roles, and engaging in forum discussions) is a privilege, not a right. You agree to:

• Vote honestly and in the best interest of the Xcity community
• Not engage in vote-buying, Sybil attacks, or any form of governance manipulation
• Comply with all applicable laws and the Xcity DAO Charter
• Respect the privacy and dignity of other community members

6. Prohibited Uses

You agree NOT to use the Platform to:

• Violate any applicable local, national, or international law or regulation
• Engage in money laundering, terrorist financing, or other financial crimes
• Distribute malware, viruses, or any other malicious code
• Impersonate any person or entity or falsely represent your affiliation
• Interfere with, disrupt, or attempt to gain unauthorized access to Platform infrastructure
• Use the Platform for spam, phishing, or any fraudulent scheme
• Harvest or collect information about other users without their consent

7. Intellectual Property

All content, branding, logos, software, and materials on the Platform are the intellectual property of Xcity or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Platform content without prior written consent from Xcity.

8. Third-Party Links & Services

The Platform may contain links to third-party websites, services, or resources. Xcity does not endorse, control, or assume responsibility for the content, privacy practices, or availability of any third-party services. Your interactions with third parties are solely between you and them.

9. Disclaimers & Limitation of Liability

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied. Xcity does not guarantee:

• Uninterrupted, secure, or error-free operation of the Platform
• The accuracy, completeness, or reliability of any content or data
• That NFT values will increase, be maintained, or be liquid
• That Argentine government approvals for immigration or land development will be obtained

To the maximum extent permitted by law, Xcity and its affiliates shall NOT be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Platform.

10. Indemnification

You agree to indemnify, defend, and hold harmless Xcity, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including legal fees) arising from your violation of these Terms, your misuse of the Platform, or your violation of any third-party rights.

11. Termination

Xcity may suspend or terminate your account and access to the Platform at its sole discretion, without prior notice, if we believe you have violated these Terms or engaged in any activity that could harm Xcity, its users, or third parties. Termination does not relieve you of any obligations incurred prior to termination.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Argentina, without regard to its conflict of law provisions. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under ICC Rules, with the arbitration taking place in Buenos Aires, Argentina. You also agree to the personal jurisdiction of Argentine courts for any matters not subject to arbitration.

13. Amendments to Terms

Xcity reserves the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on the Platform with a revised "Last updated" date. Your continued use of the Platform after any such changes constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
